All entities registered in Pennsylvania (whether as domestic or foreign entities) must now file an annual report with the Pennsylvania Department of State. (Prior to this change in the law, entities were required to update their registration information in Pennsylvania only every ten years.) The first reporting deadline is June 30, 2025.

Who needs to file under the new requirements?
Any company registered in Pennsylvania – whether as a domestic, foreign, or non-profit corporation – is subject to the new reporting requirements.
When are the deadlines?
- Corporations (including non-profit corporations) must file by June 30, 2025
- LLCs (including LLCs taxed as Subchapter S-corporations) must file by September 30, 2025
- Any other domestic or foreign entity registered in Pennsylvania must file by December 31, 2025
How do I file?
To file online, companies must have an existing account with the Department of State or create a new account. Companies are required to provide certain organizational information, including the name of the entity, the location of the corporate headquarters, and the name(s) of governors and principal officers.
