Kleinbard partner, Mary Beth Gray, presented at the ESOP Association 2018 Multi-State Conference.  Mary Beth’s presentation was entitled “Board Composition in ESOP Companies“.  The presentation covered the benefits of good corporate governance including having more than one outside independent director and the relationship between the Board’s fiduciary duties and the trustee’s fiduciary duties.

The ESOP Association 2018 Multi-State Conference was held on September 11 – 13 at the Hershey Lodge in Hershey, PA.

Mary Beth’s practice has a special focus on business succession, including the sale of businesses to employee stock ownership plans (ESOPs) and other transactions involving ESOPs. She has extensive experience in mergers and acquisitions, and has represented buyers and sellers in more than 300 transactions involving both equity and assets. Ms. Gray also regularly advises companies and shareholders with respect to both transactional and operational issues, including corporate governance, stock ownership, succession planning, equity and non-equity compensation, securities law issues, corporate finance, and corporate tax matters.

Mary Beth is a frequent speaker on the topic of ESOPs.  She is a member of the ESOP Association and the National Center for Employee Ownership.
