Rachel Hanscom
Rachel is an associate in the Firm’s Business & Finance Practice where she focuses her practice on corporate governance issues, reorganizations, and other legal and transactional matters. She regularly counsels private funds in connection with organizational, transactional, and compliance matters. Additionally, Rachel represents purchasers and sellers, including private equity firms and their portfolio companies, in mergers and acquisitions and investment transactions.
Before joining Kleinbard, Rachel was an associate in the corporate practice group at a large law firm. Prior to attending law school, Rachel was a management consultant at a leading global consulting firm. In addition, Rachel served as a Judicial extern for the Honorable Megan McCarthy King in the Pennsylvania Superior Court during law school.

- Represented a private equity fund in its $460 million acquisition of an engineering and construction company.
- Represented a private equity fund in its $210 million sale of a portfolio company, a biomedical engineering and medical device supplier.
- Represented private equity and venture capital fund managers in connection with fund formation, and operations.
- Represented a large investment manager in connection with its investment in a European private equity fund.
- Represented a private equity fund in its $54 million asset sale of a portfolio company.
- Represented a portfolio company of a private equity fund in its acquisition of a provider of behavioral health services.
- Represented closely held construction company in its sale to a private equity fund.
